Terms of Service

1. Definitions

  • Service — the Tracepo monitoring platform and related services (web application, API, metric ingestion, agents, and associated infrastructure) provided at tracepo.io and related domains.
  • Platform — the software, systems, and infrastructure used to deliver the Service.
  • Customer — the legal or natural person that registers an account, subscribes to the Service, or otherwise agrees to these Terms.
  • User — any individual who accesses or uses the Service on behalf of or with the authorization of the Customer.
  • Content — any data, configuration, dashboards, alerts, or other material that the Customer or Users submit or generate through the Service.
  • Metrics Data — telemetry, metrics, and monitoring data collected by Tracepo agents or sent to the Service by the Customer.
  • Account — the Customer’s registration and associated credentials (including API keys, agent tokens, and machine identifiers) used to access the Service.
  • Paid Account — access to the Service under a paid subscription plan.
  • Unpaid Account — access to the Service on a free, trial, proof-of-concept, or “lite” basis, without a paid subscription.

2. Acceptance and Scope

2.1 By registering an account, subscribing to the Service, or using the Platform (including deploying Tracepo agents or sending data to the Service), the Customer accepts these Terms of Service in their entirety.

2.2 These Terms apply to use of the Service provided via tracepo.io and any other domains or subdomains designated by "BEATAI LABS" LLC for the Tracepo platform.

2.3 If the Customer acts on behalf of an organization, the Customer represents that they have authority to bind that organization to these Terms.

3. Account Types

3.1 Paid Accounts

Customers that access the Service through a paid subscription are governed by these Terms of Service. Payment terms, billing cycles, and plan-specific features are as set forth in the applicable order form, pricing page, or subscription agreement. In the event of conflict between those documents and these Terms, the order form or subscription agreement prevails with respect to fees and scope of the paid plan only.

3.2 Unpaid Accounts

Customers that access the Service on an unpaid basis (including trials, proof of concept, developer or “lite” offerings) are governed by these Terms of Service. Unpaid access may be subject to usage limits, feature restrictions, or data retention limits as published from time to time. "BEATAI LABS" LLC may modify or discontinue unpaid offerings with reasonable notice and may terminate Unpaid Accounts in accordance with Section 10.

4. Registration and Account Security

4.1 The Customer must provide accurate and complete registration information and keep it up to date.

4.2 The Customer is responsible for maintaining the confidentiality of account credentials and for all activity under the Account, including use of agent tokens and machine identifiers for metric collection. The Customer must promptly notify "BEATAI LABS" LLC of any unauthorized access or breach of security.

5. Use of the Service

5.1 The Customer and Users may use the Service only in accordance with these Terms and applicable law.

5.2 The Customer must not: (a) use the Service for any illegal purpose or in violation of any applicable laws; (b) infringe the intellectual property or other rights of "BEATAI LABS" LLC or third parties; (c) reverse engineer, decompile, or attempt to derive source code from the Platform except to the extent permitted by mandatory law; (d) resell or sublicense access to the Service without prior written agreement; (e) interfere with or disrupt the integrity or performance of the Service or third-party systems used to operate it; (f) attempt to gain unauthorized access to the Service or related systems or data.

5.3 "BEATAI LABS" LLC may suspend or terminate access for conduct that violates these Terms or poses a risk to the Service or other users.

6. Data and Metrics

6.1 The Customer retains ownership of Content and Metrics Data. The Customer grants "BEATAI LABS" LLC a non-exclusive, worldwide, royalty-free license to use, process, store, and display Content and Metrics Data solely to provide, operate, and improve the Service and to perform its obligations under these Terms.

6.2 Data retention for Metrics Data and other Content will be in accordance with the applicable plan (paid or unpaid) as described in the product documentation or pricing terms.

6.3 The Customer is responsible for ensuring that it has all necessary rights and consents to provide Content and Metrics Data to the Service and that such data does not violate any third-party rights or applicable law.

7. Intellectual Property

7.1 The Platform, the Service, and all related technology, documentation, and materials are owned by "BEATAI LABS" LLC or its licensors. No rights are granted except as expressly set forth in these Terms.

7.2 The Customer retains ownership of its Content and Metrics Data subject to the license in Section 6.1.

8. Confidentiality

8.1 Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential, and to use such information only for the purpose of performing under these Terms.

8.2 Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was rightfully known to the receiving party without restriction, or is independently developed without use of the disclosing party’s confidential information.

9. Fees and Payment (Paid Accounts)

9.1 Fees for Paid Accounts are as specified in the applicable order form, invoice, or pricing page. Unless otherwise agreed, fees are due in advance for the billing period and are non-refundable except as required by law or as expressly stated in the subscription terms.

9.2 Failure to pay fees when due may result in suspension or termination of the Service. "BEATAI LABS" LLC may change fees upon reasonable notice; continued use after the effective date of the change constitutes acceptance of the new fees.

9.3 All amounts are in the currency specified in the invoice or pricing. Taxes, if any, are the Customer’s responsibility unless "BEATAI LABS" LLC is required by law to collect them.

10. Term and Termination

10.1 These Terms remain in effect for as long as the Customer has an Account or uses the Service.

10.2 The Customer may terminate the Account at any time through the account settings or by contacting support@tracepo.io. "BEATAI LABS" LLC may terminate or suspend the Account or access to the Service (a) for breach of these Terms, (b) for non-payment where applicable, (c) to comply with law or to protect the Service or other users, or (d) upon reasonable notice for Unpaid Accounts or for business reasons affecting the Service.

10.3 Upon termination, the Customer’s right to access and use the Service ceases. "BEATAI LABS" LLC may, in accordance with its data retention and deletion policies, delete or retain Content and Metrics Data after a reasonable period following termination. The Customer is responsible for exporting any data it requires prior to termination.

11. Disclaimers

11.1 THE SERVICE AND PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE.” "BEATAI LABS" LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

11.2 "BEATAI LABS" LLC DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE CUSTOMER USES THE SERVICE AT ITS OWN RISK.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, "BEATAI LABS" LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE.

12.2 IN NO EVENT SHALL "BEATAI LABS" LLC’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT PAID BY THE CUSTOMER TO "BEATAI LABS" LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, FOR UNPAID ACCOUNTS, ONE HUNDRED US DOLLARS (USD 100)).

12.3 NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER THE LAWS OF THE REPUBLIC OF UZBEKISTAN.

13. Indemnification

The Customer shall indemnify, defend, and hold harmless "BEATAI LABS" LLC and its affiliates, officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) the Customer’s or Users’ use of the Service in breach of these Terms or applicable law; (b) Content or Metrics Data infringing third-party rights or violating law; or (c) any dispute between the Customer and a third party relating to the Customer’s use of the Service.

14. Governing Law and Disputes

14.1 These Terms are governed by the laws of the Republic of Uzbekistan, without regard to conflict of law principles.

14.2 Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Republic of Uzbekistan, unless the parties agree in writing to arbitration or another dispute resolution mechanism.

15. Changes to the Terms

15.1 "BEATAI LABS" LLC may modify these Terms from time to time. Material changes will be communicated by email to the account contact, by notice within the Service, or by posting the updated Terms at a URL specified for this purpose. The effective date of the new Terms will be stated in the notice.

15.2 Continued use of the Service after the effective date of the modified Terms constitutes acceptance of the changes. If the Customer does not agree to the modified Terms, the Customer must stop using the Service and may terminate the Account. For material changes that adversely affect the Customer’s rights, "BEATAI LABS" LLC may require explicit acceptance or provide a right to terminate without penalty within a specified period.

16. General

16.1 Entire agreement. These Terms, together with any order form, subscription terms, or policy expressly incorporated by reference, constitute the entire agreement between the parties regarding the Service and supersede any prior agreements or understandings.

16.2 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

16.3 Waiver. No failure or delay by either party in exercising any right under these Terms operates as a waiver of that or any other right.

16.4 Assignment. The Customer may not assign these Terms or its rights or obligations without the prior written consent of "BEATAI LABS" LLC. "BEATAI LABS" LLC may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
